The statutory liability for managing directors of limited liability companies (GmbH) and members of the management board of stock corporations (AG) has become very strict due to changes in the framework conditions. However, overly strict liability can tempt directors to engage in risk-averse management. The book therefore deals with the question of whether and within what limits the liability of managing directors and board members can be modified and in particular limited.
